WalkList Terms of Service
Effective Date: February 16, 2026
Last Updated: October 23, 2026
1. Acceptance of Terms
By downloading, installing, accessing, or using the WalkList mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not download or use the App.
The App is owned and operated by It Matters Group LTD, a British Columbia corporation ("we," "us," or "our").
2. Description of the App
WalkList is a mobile application available on the Apple App Store for iPhone and iPad that allows users to create tasks and photo checklists, run structured Yes/No audits, add tags and notes, add the names of colleagues or others involved in an audit, export PDF reports, and share .walklist files with other users or devices. The App works offline and is designed for conducting walkthroughs and documenting inspections.
- WalkList: Available as a one-time purchase of CA$19.99 / US$14.99 (or the local price displayed in the App Store) through the Apple App Store, including unlimited inspections, PDF export, department routing, Hotel Mode, and Send to WalkList.
The features, functionality, and file formats of the App (including the .walklist file format) may evolve with future updates. We do not guarantee backward compatibility of .walklist files across different versions of the App.
3. Eligibility
You must be at least 13 years of age to use this App. If you are under the age of majority in your jurisdiction, you must have parental or guardian consent to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.
All features of the App, including the file sharing feature (.walklist export), are subject to the same age and eligibility requirements. If you are under the age of majority, you must obtain parental or guardian consent before sharing any .walklist files.
4. Account and Data
4.1 No Account Required
WalkList has no account or login. You do not create a username or password to use the App.
4.2 Local Data Storage
All tasks, photos, audits, and settings, including checklists, tags, notes, names you enter, and saved reports, are stored only on your device. Data leaves your device only when you deliberately export or share a report or .walklist file yourself (see Section 4.5). We do not access or back up your locally stored data, and the App does not automatically upload or sync it.
4.3 Data Loss
If you delete the App or lose your device, all locally stored data will be permanently lost. We are not responsible for any data loss resulting from device failure, app deletion, operating system updates, or any other cause.
Once a .walklist file has been shared with another user or device, we have no ability to recover, revoke, recall, or delete that data. The recipient assumes sole responsibility for any data they receive.
4.4 Data Collection
WalkList makes no analytics or tracking calls and does not automatically send your app data or diagnostic reports to us. It does not use advertising identifiers or third-party analytics or advertising SDKs. Apple's own App Store and operating-system services are governed by Apple's policies and your device settings. Please refer to our Privacy Policy for full details.
4.5 File Sharing (.walklist Export)
You may choose to export or share a PDF report or a .walklist file yourself. A .walklist file contains your tasks, tags, and associated photos and can be shared with another user or device via Apple's built-in share sheet (e.g., AirDrop, Messages, Mail, or other sharing methods provided by your device). Data is shared only at your direction. By using file sharing, you acknowledge and agree to the following:
- User-initiated: File sharing occurs only when you explicitly choose to export and send a .walklist file. WalkList does not automatically transmit any of your data.
- No server involvement: The .walklist file is transferred directly through Apple's native sharing mechanisms. We do not route, store, intercept, facilitate, or have any access to or visibility into shared files or the transfer process.
- Sender responsibility: You are solely responsible for the content you share. You represent and warrant that you have the right to share all content included in the .walklist file, including any photos, and that sharing such content does not violate any applicable law, regulation, or third-party right (including privacy, intellectual property, or confidentiality rights).
- Recipient import: The receiving user must have a purchased copy of WalkList to import a .walklist file. Once imported, the data is stored locally on the recipient's device and is subject to the same local-only storage practices described in these Terms.
- No control over recipients: Once a .walklist file is shared, we have no control over how the recipient uses, stores, modifies, or further distributes the data. We bear no responsibility or liability for any actions taken by the recipient with respect to shared data.
- No guarantee of delivery or integrity: We do not guarantee successful delivery, file integrity, or compatibility of .walklist files across devices, operating system versions, or App versions.
- Recipient obligations: By importing a .walklist file, the recipient agrees to these Terms in full and specifically agrees not to: (a) claim ownership of content created by the sender; (b) redistribute, publish, or commercially exploit the imported content without the sender's express permission; or (c) use the imported content for any unlawful purpose. The recipient acknowledges that the sender retains all ownership rights in their User Content as described in Section 8.
- File security: .walklist files shared via Apple's sharing mechanisms are transmitted as-is. We do not encrypt .walklist files during export. Once a file leaves the App, its security depends on the sharing method chosen (e.g., AirDrop, email) and the practices of the sender and recipient. You should exercise caution when sharing files containing sensitive or personally identifiable content.
5. Purchases and Payments
5.1 App Store Transactions
WalkList is purchased once through the Apple App Store before downloading. Apple handles all payments and refunds under the Apple Media Services Terms and Conditions. We do not directly collect, process, or store payment or credit card information.
5.2 Pricing
WalkList is a one-time purchase of CA$19.99 / US$14.99 (or the local price displayed in the App Store). Pricing may be updated from time to time as reflected in the App Store. Any price changes will not affect purchases already completed.
5.3 Refunds
All refund requests are handled by Apple in accordance with their refund policy:
We do not process refunds directly.
6. License Grant
6.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device you own or control, strictly for your personal or internal business purposes.
6.2 Restrictions
You agree not to:
- Copy, modify, distribute, sell, lease, sublicense, or reverse-engineer the App or any part of it
- Use the App for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any systems or networks connected to the App
- Remove, alter, or obscure any proprietary notices, labels, or marks on the App
- Use the App in any way that could damage, disable, overburden, or impair our services
- Use the file sharing feature to distribute content that is unlawful, defamatory, obscene, infringing, or otherwise objectionable
- Use any automated tools, scripts, or processes to bulk-export, mass-distribute, or programmatically generate .walklist files
- Reverse-engineer, decompile, or attempt to derive the structure or format of .walklist files
7. Intellectual Property
All rights, title, and interest in and to the App, including all content, features, functionality, design, graphics, trademarks, and logos, are and will remain the exclusive property of IT MATTERS GROUP LTD. and its licensors. These Terms do not grant you any rights to use our trademarks, trade names, or logos.
8. User Content
You retain full ownership of all photos, checklists, tags, notes, names of colleagues or other individuals you add to an audit, PDFs, and other content you create using the App ("User Content"). Since all User Content is stored locally on your device, we do not access, collect, store, or have any rights to your User Content.
Where your User Content includes the name or other personal information of another person, you represent and warrant that you have the authority or consent required to record and, if you choose, to share that information, and that doing so does not violate that person's privacy or other rights.
If you choose to share User Content via a .walklist file, you do so at your own risk and discretion. We are not responsible for any User Content once it has been shared with a third party, including any unauthorized use, disclosure, or distribution of that content by the recipient.
For clarity, sharing a .walklist file does not transfer ownership of your User Content to the recipient. The sender retains all intellectual property and ownership rights in their User Content. Recipients may use imported content only for the purpose for which it was shared and may not claim ownership, republish, or commercially exploit it without the sender's express written consent.
9. Third-Party Services
Apple distributes the App and handles the purchase. Any service you choose when exporting or sharing a report or file is governed by that service's own terms and privacy policy.
- Apple App Store: The App is distributed through the Apple App Store, and all payment processing is handled by Apple.
We are not responsible for the practices or policies of any third-party service.
10. Legal Compliance (U.S. Embargoes)
By using the App, you represent and warrant that:
- You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country;
- You are not listed on any U.S. Government list of prohibited or restricted parties;
- You are not subject to sanctions imposed under Canadian law, including but not limited to the Special Economic Measures Act (SEMA), the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law), or any regulations thereunder; and
- You will not use the App, including the file sharing feature, in a manner that would violate any applicable international trade sanctions or export control laws.
11. Third-Party Beneficiaries
You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the App on iOS devices. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
12. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Without limiting the foregoing, the file sharing feature (.walklist export) is provided on an "as is" basis. We make no warranties or representations regarding successful delivery, file integrity, compatibility across devices or App versions, or the security of files during transfer via Apple’s sharing mechanisms.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IT MATTERS GROUP LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of data (including locally stored photos, checklists, or PDFs)
- Loss of profits or revenue
- Loss of use of the App
- Any damages arising from your reliance on the App
Without limiting the foregoing, we shall have no liability whatsoever for:
- Any data shared via .walklist files, including the content, accuracy, or legality thereof
- Unauthorized access to, or misuse of, shared .walklist files by recipients or any third party
- Failed, corrupted, incomplete, or intercepted file transfers
- Any consequences arising from a user's decision to share sensitive, confidential, or personally identifiable content via .walklist export
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY).
14. Indemnification
You agree to indemnify, defend, and hold harmless IT MATTERS GROUP LTD., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the App
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your User Content
- Your use of the file sharing feature, including any .walklist files you export or share, and any claims by recipients or third parties arising from the content of such files
15. Termination
Your license to use the App may terminate if you breach these Terms, subject to applicable law. If your license terminates, you must stop using and delete the App from your devices. You may stop using the App at any time by deleting it from your device. WalkList has no account-based access to suspend, and we cannot remotely delete the data stored on your device.
Termination does not affect any .walklist files previously exported or received. We have no ability to recall or revoke shared files, and the terms governing shared content (Sections 4.5 and 8) survive termination.
16. Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website or within the App and will take effect immediately upon posting. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and IT MATTERS GROUP LTD. regarding your use of the App, and supersede all prior agreements, representations, and understandings.
